The organization manages a broad range of corporate, commercial, operational, and legal matters across its businesses, requiring strong coordination between executive leadership, internal stakeholders, and retained outside counsel.
As the organization continues to grow, the Senior Corporate Paralegal will play a key role in creating structure, visibility, and accountability across its legal operations, ensuring matters are properly organized, prioritized, and driven toward resolution.
About the Role
We're looking for a strategic Senior Corporate Paralegal to establish and manage a centralized legal operations function across Synaptic's portfolio of companies.
Reporting directly to the Chief Executive Officer, you'll serve as the day-to-day bridge between executive leadership, operating companies, internal stakeholders, and retained outside attorneys.
Outside counsel will continue to handle legal advice, complex negotiations, litigation strategy, and matters requiring attorney involvement. This role will ensure they have the information, documentation, organization, and follow-through required to make timely decisions and move matters forward.
This is not a traditional administrative paralegal role. The ideal candidate is highly organized, proactive, commercially minded, and comfortable managing complex matters with limited day-to-day direction. You'll be expected to understand the full picture, identify what requires attention, hold stakeholders accountable, and prevent legal matters from stalling.
What You'll Do
Strategic Legal Operations
- Build and manage a centralized legal operations function supporting all current and future companies within the portfolio.
- Develop and manage legal intake, review, prioritization, and escalation processes.
- Evaluate incoming legal matters and determine what information, documentation, internal action, or outside-counsel involvement is required.
- Maintain a centralized dashboard of open matters, owners, deadlines, risk levels, costs, and next actions.
- Prepare concise executive updates highlighting exposure, stalled matters, required decisions, and recommended priorities.
- Establish consistent meeting and follow-up cadences between leadership, internal stakeholders, and outside counsel.
- Identify risks, missing information, stalled matters, and required decisions before they become larger problems.
- Hold responsible parties accountable for providing information and completing agreed-upon actions.
- Build repeatable legal processes that can scale as additional companies are added to the portfolio.
Outside-Counsel Coordination
- Serve as the primary day-to-day liaison between the CEO, company leaders, internal departments, and retained attorneys.
- Prepare complete and organized matter files before engaging outside counsel.
- Provide attorneys with contracts, communications, timelines, records, evidence, and concise summaries of the underlying business issue.
- Coordinate meetings, document requests, decisions, deadlines, and follow-up items.
- Monitor outside-counsel activity for progress, responsiveness, alignment, and cost control.
- Review outside-counsel invoices and identify discrepancies, unclear charges, or matters requiring clarification.
- Escalate matters requiring legal advice, attorney judgment, negotiation, or representation.
- Ensure attorney recommendations are clearly communicated and implemented by the appropriate internal stakeholders.
Pre-Litigation and Dispute Management
- Manage the internal lifecycle of claims, disputes, complaints, demand letters, and potential litigation matters.
- Collect and organize contracts, communications, financial records, project files, photographs, employee records, and other supporting evidence.
- Build matter summaries, timelines, factual records, and exposure assessments for leadership and retained counsel.
- Coordinate responses, insurance notices, settlement documentation, and outside-counsel assignments.
- Track commitments, deadlines, payments, responses, and escalation points through resolution.
- Identify recurring issues and recommend process improvements that can reduce future legal exposure.
Contracts and Business Transactions
- Coordinate the review, revision, approval, execution, and storage of commercial agreements, vendor contracts, service agreements, releases, and settlement documents.
- Prepare initial contract drafts and revisions using approved templates and attorney guidance.
- Identify missing terms, inconsistent provisions, unusual obligations, and issues requiring attorney review.
- Maintain approved contract templates, standards, renewal dates, notice requirements, and execution records.
- Support business transactions, due diligence, document collection, closing requirements, and post-closing obligations.
- Track contractual commitments and ensure appropriate business leaders understand their responsibilities.
- Coordinate contract-related questions between operating companies, leadership, and outside counsel.
Corporate Structure and Governance
- Maintain entity records, organizational documents, registrations, resolutions, ownership records, and governance calendars.
- Coordinate entity formations, amendments, restructuring projects, acquisitions, and related filings with leadership and retained counsel.
- Organize and maintain accurate corporate records across the Synaptic portfolio.
- Incorporate newly formed or acquired companies into the organization's legal operations processes.
- Coordinate specialized employment, healthcare, construction, consumer, real estate, or regulatory matters with qualified outside counsel.
- Track corporate filings, recurring requirements, and governance deadlines to ensure matters remain current.
Legal Spend and Company Allocation
- Track legal matters, time, and expenses by company.
- Review outside-counsel invoices for accuracy, matter assignment, and progress.
- Ensure legal costs are allocated to the appropriate operating company.
- Provide leadership with visibility into legal expenses, trends, and potential cost-saving opportunities.
- Maintain accurate records that allow leadership to understand legal workload and spend across the portfolio.
What We're Looking For
- 7+ years of experience in corporate, transactional, litigation, legal operations, or a related paralegal environment.
- Significant experience working directly with attorneys, executives, and business leaders.
- Proven ability to independently manage complex legal matters with limited day-to-day direction.
- Strong experience preparing legal documents, executive summaries, timelines, matter files, and supporting documentation.
- Strong understanding of contracts, pre-litigation processes, corporate governance, confidentiality, privilege, and attorney supervision.
- Strong organizational, analytical, and prioritization skills.
- Demonstrated ability to identify risks, missing information, deadlines, and required actions before matters become urgent.
- Strong judgment and ability to determine when an issue can be handled internally versus when attorney involvement is required.
- Excellent written and verbal English communication skills.
- Ability to communicate complex legal and business matters clearly to executives and non-legal stakeholders.
- Strong follow-through and accountability, with the ability to coordinate multiple stakeholders and keep matters moving.
- Comfortable working in a fast-paced, multi-company environment with competing priorities.
- Paralegal certificate, bachelor's degree, or equivalent relevant legal experience.

- Experience supporting a CEO, executive team, general counsel, or senior business leadership.
- Experience working with multiple companies, subsidiaries, or a portfolio of affiliated businesses.
- Experience coordinating outside counsel across multiple legal matters and practice areas.
- Experience with corporate governance, entity management, and business transactions.
- Experience managing pre-litigation disputes, claims, demand letters, or litigation support.
- Experience reviewing and coordinating commercial contracts and vendor agreements.
- Experience with legal matter management, contract management, or document management systems.
- Experience tracking legal spend, reviewing law-firm invoices, and allocating costs across entities.
- Experience in a high-growth company, private-equity-backed organization, holding company, or multi-business environment is a plus.
